RCARC Bylaws

 

By-laws for the Ripley Co. Amateur Radio Club (RCARC), Inc.


Article #1 Equipment ownership

Donations of amateur radio related equipment will be accepted on the condition that said donation is returned to the donor upon dissolution of the club. The club will maintain and pay for necessary insurance against damage or loss to said equipment.


Article #2 Purpose of the RCARC

The purpose of the RCARC is to promote amateur radio & to encourage fellowship.

Article #3 Meetings

All meetings must be governed by a minimum of (2) officers & a quorum of (2) regular members.
Special meetings maybe called by the President at any given time & shall be called upon by giving notice to all club members no later than (4) days prior to having this meeting. Notice must be given by both e-mail & radio announcements.

Article #4 By Laws

The By Laws of the RCARC maybe changed by a 60% vote of regular members present at a regular or special meeting providing that said changes were announced at least (1) meeting prior  via the web or weekly net radio announcements to insure that the membership is aware of the possible changes to be voted on.
Vote count will include members present at the next meeting.

Article #5 Membership & Dues

Membership is open to all persons licensed or not. Non licensed members will be known as Associate members.
Licensed operators will be charged $15 / yearly, & any additional licensed operators & non licensed operators in the same household will be charged $8 / annually.
Anyone wishing to join the RCARC who is not a licensed operator & who does not live in a household with a licensed operator will also be known as an associate member & will be charged $8/annually.
Membership will be considered from January thru January the following year.
Those who join the RCARC after January will have dues prorated $1.25/month for regular member and $.67/month for non licensed individuals & associate members.
If a person test out at an RCARC test session, & passes their Technicians test, they will be given a free membership for the remainder of that calendar year. If a person was to fail their Technicians test at an RCARC test session they would be given a free associates membership for the remainder of that calendar year.

Article #6 Officers & Duties

All officers must be dues paying licensed amateur radio operators.
President: Shall enforce the by -Laws & sign any & all documents adopted & accepted by the club members.
Vice President: Shall assist the President in all matters of the club.
Treasurer: Shall keep & maintain all records of monies & transactions paid into & out of the treasury. All transactions will be reported at each months meeting.
No money shall be spent without the approval of the membership except in the event of an emergency situation. The President & VP may make this decision in the best interest of the club whether or not the situation constitutes an emergency, but it must be reported at the next business meeting.
Secretary: Shall keep & maintain accurate meeting minutes.

Article # 7 Elections of officers

Nominations will be held at the November meeting with elections to be held at the December meeting & newly elected officers will take office in January.
Nominations will be held at the November meeting, at the closing of the November meeting only those candidates on the ballot will be voted on at the December elections.
Only dues paying licensed operators can make nominations or hold office.
Officers may hold office for subsequent (unlimited) terms.
At the end of an officer’s term, all club materials in that officer’s possession shall be turned over to the new successor. 

Article #8 Voting

Only dues paying licensed members will be permitted to vote for officers.
Associate members have full voting rights on all RCARC business with the exception that they can not nominate, vote on or hold an officer position.
As of April 2010 we no longer have ANY proxy or absentee voting.

Article # 9 Expulsion of a member

At any regular meeting, any member may move to request in a motion to expel or remove any member from the club as long as they state the exact cause.
The President shall make notification of such motion to all voting members prior to the next regularly called meeting. The member who is under consideration is entitled to address the club members in the meeting prior to voting as long as the member speaks in general form of an appeal or a statement of the case. The expulsion motion requires a 60% majority vote of members present at a regular meeting in order to pass.

Article #10 Removal or impeachment of an officer

If at any time a member feels that an officer of the club has not fulfilled the requirements or duties of their position, said officer may be removed from office in the same manner described in Article #9, but removal from an office does not mean this person is excluded from the club itself.

Article #11 Dissolution of Ripley County Amateur Radio Club, Inc.

Upon dissolution of the corporation (RCARC, Inc) assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)3 of the Internal Revenue Code.
